Terms of Service

These Terms of Service ("Terms") govern your access to and use of CueAlign (the "Service"), a web application for post-processing, correcting, and formatting transcriptions and subtitles. The Service is operated by an independent individual developer ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

CueAlign lets you upload audio, video, or text and returns processed transcripts and subtitles using third-party AI models. The Service is provided on an ongoing basis and may evolve: features can be added, changed, or removed over time. We do not guarantee that any particular feature, model, or output format will remain available.

2. Eligibility and accounts

• You must be at least the age of majority in your place of residence, or use the Service under the supervision of a parent or legal guardian.
• You are responsible for your account credentials and for all activity that occurs under your account. Sign-in is handled by our authentication provider (Supabase), including optional Google sign-in.
• You agree to provide accurate information and to keep your contact email current so we can reach you about your account.

3. Acceptable use

You agree not to use the Service to:

• upload or process content you do not have the right to use, or that infringes anyone's intellectual property, privacy, or other rights;
• process unlawful content, or content that is defamatory, harassing, or that depicts the sexual exploitation of minors;
• attempt to disrupt, overload, reverse-engineer, or gain unauthorized access to the Service or its infrastructure;
• resell, sublicense, or misrepresent the Service as your own without our permission;
• circumvent usage limits, billing, or abuse-prevention measures.

We may suspend or terminate access that violates these rules.

4. Your content

You retain all rights to the files you upload and to the transcripts and subtitles the Service generates for you ("Your Content"). You grant us a limited licence to store and process Your Content solely to operate and provide the Service to you — for example, sending audio and text to the AI models that perform the processing. We do not claim ownership of Your Content and do not use it to train models. Files are stored and deleted according to our Privacy Policy.

You are solely responsible for Your Content and for ensuring you have the rights necessary to process it.

5. Payments, credits, and refunds

The Service uses a prepaid balance in USD to pay for processing. Payments are handled by our payment provider, lava.top; card details never reach our servers. Prices and per-operation costs may change; the price shown at the time of an action applies to that action.

Promotional bonus credits have no cash value and are not refundable. Refunds of unused paid balance are governed by our Refund Policy, which forms part of these Terms.

6. Third-party services

The Service relies on third parties to function, including AI model providers (via OpenRouter and AssemblyAI), Google Cloud (hosting and file storage), Supabase (authentication), and lava.top (payments). Your use of the Service may be subject to those providers' own terms, and we are not responsible for their acts or omissions.

7. Our intellectual property

The Service itself — its software, design, text, and branding (including the CueAlign name and logo) — is owned by us and protected by intellectual property laws. These Terms do not grant you any right to our software or brand except the limited right to use the Service as intended.

8. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. AI-generated output can contain errors or inaccuracies; you are responsible for reviewing output before relying on it. We do not warrant that the Service will be uninterrupted, error-free, or that any output will meet your requirements.

9. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or profits, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the three (3) months before the event giving rise to the claim.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

10. Termination

You may stop using the Service and request account deletion at any time. We may suspend or terminate your access if you breach these Terms or to comply with the law. On termination, your right to use the Service ends; the sections that by their nature should survive (content ownership, disclaimers, limitation of liability, and these general terms) continue to apply.

11. Changes

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Material changes will be reflected on this page; your continued use of the Service after changes take effect means you accept the updated Terms.

12. Governing law and disputes

We do not designate a specific national court or governing law for these Terms. The mandatory consumer-protection laws of your country of residence continue to apply to you and are not waived by these Terms. If a dispute arises, we ask that you first contact us so we can try to resolve it directly and in good faith before pursuing any other remedy.
